Comment on Nosa Plugs’ Exclusive Distribution Agreement for Five Markets in the Middle East

Nosa Plugs AB (”Nosa Plugs” or ”the Company”) announced on 10 August 2026 that the Company has entered into an exclusive distribution agreement with MetroMed regarding sales of Nosa Plugs’ full product portfolio in the United Arab Emirates, Kuwait, Qatar, Oman and Bahrain. In connection with the agreement being entered into, MetroMed places an initial order of NOSA Odor Control with an order value of approximately SEK 0.3m. MetroMed thereafter intends to launch the remaining products in the assortment, including Nozoil, NOSA Smell Training and NOSA Microbial Control, as soon as the requisite regulatory approvals have been obtained in each respective market, where the planned order value for these products following registration amounts to close to SEK 1m. The combined value of the initial order and the planned subsequent orders thereby amount to approximately SEK 1.3m. MetroMed will sell the products through its established sales channels towards pharmacies, hospitals, grocery retail and veterinary clinics, among others.

Analyst Group’s View on the Distribution Agreement

The distribution agreement with MetroMed is assessed to carry greater strategic than immediate financial significance, where the combined order value of approximately SEK 1.3m corresponds to approximately 3% of Analyst Group’s full year forecast of approximately SEK 43.8m for 2026. What Analyst Group instead considers to be more relevant is that the agreement covers the full product portfolio across five markets and thereby realizes the revenue synergy which was identified in connection with the acquisition of Pharmacure, namely that the Company’s remaining assortment can be introduced on markets which entered the Group through Nozoil. In combination with demand drivers, which Analyst Group assesses to be structurally favorable for a nasal moisturizing product, the region is assessed to be able to develop into an important growth driver over time.

The Agreement Realizes Revenue Synergies from the Acquisition of Pharmacure

A dimension which Analyst Group considers to be particularly relevant is that Oman does not constitute a new market for Nozoil. Through the acquisition of Pharmacure, which was completed during Q3-25, Nosa Plugs gained access to the markets where Nozoil had already been launched, which in addition to Portugal, Canada, Poland, the Czech Republic and Australia included Oman. One of the rationales behind the acquisition was that it would generate revenue synergies by enabling the Company to introduce its remaining consumer assortment more efficiently through Pharmacure’s existing sales network, and the agreement with MetroMed is assessed to constitute a concrete realization of that mechanism, whereby a market which entered the Group through a single product is now addressed with the full portfolio. Over the past year, the reverse movement has been the more visible pattern, where Nozoil has been rolled out on markets on which Nosa Plugs already sells the Company’s remaining assortment, most recently in Austria, France and Norway as well as through the agreement covering the Netherlands and Belgium. Analyst Group assesses that the acquired distribution network can therefore be leveraged in both directions, which was a central part of the rationale behind the acquisition, and which is now being realized.

The agreement is further assessed to be in line with what the Company has previously communicated regarding the region. In the year-end report for 2025, Nosa Plugs stated that Nozoil would continue to be launched together with distributors in markets which do not constitute designated focus markets, where the MENA region was mentioned specifically as an area holding significant potential but where the Company does not intend to build up its own sales force. The agreement thereby constitutes the execution of a communicated intention rather than a change of strategic direction, where the distributor model applied enables an establishment across five markets without a corresponding increase in the Company’s fixed cost base.

Odor Control is Delivered First for Regulatory Reasons

That the initial order relates to Odor Control specifically follows the regulatory conditions applying to each respective product. Odor Control is classified neither as a medical device nor as protective equipment and therefore does not require CE marking, which means that the product can be delivered without a preceding registration process. Nozoil, Smell Training and Microbial Control are instead subject to market approval in each individual jurisdiction, which as a rule requires a locally appointed authorized representative, documented certification of the quality management system, where Nosa Plugs holds ISO 13485 certification, as well as labelling and instructions for use in Arabic. Analyst Group therefore assesses that the initial order can be recognized as revenue in the near term, whereas the planned subsequent orders of close to SEK 1m are assessed to fall due successively during the latter part of 2026 and into 2027.

The Signal Value Exceeds the Financial Value

In relation to the size of the order, the combined value of approximately SEK 1.3m corresponds to approximately 3% of Analyst Group’s full year forecast of approximately SEK 43.8m for 2026. Analyst Group considers the signal value to exceed the immediate financial value, as the agreement establishes a distribution platform across five markets with a counterparty which already has the channels in place, whereby the marginal cost of adding volume and further products over time is assessed to be limited. Provided that the products are well received by end customers, Analyst Group assesses that the region may develop into an important growth driver going forward, in a manner similar to how initial orders on other markets have subsequently been followed by replenishment and expanded orders.

Structurally Favorable Conditions for Nozoil in the Region

For Nozoil specifically, Analyst Group assesses that the product and market fit in the region is structurally favorable. The five markets comprise just under 26 million inhabitants in a climate characterized by high temperatures, a high level of airborne dust and a close to universal use of air conditioning, which contributes to dry nasal mucosa all year round rather than seasonally. Respiratory products accounted for approximately 33% of the therapeutic segment mix within the market for over-the-counter products in the United Arab Emirates during 2024, which is attributed to the climate and the dust levels. Analyst Group assesses that the underlying demand drivers for a nasal moisturizing product are thereby more pronounced than on several of the Company’s existing markets.

Continued High Commercial Pace

Analyst Group notes that the agreement constitutes the third commercial news item within approximately three months, following the Norwegian pharmacy wholesaler NMD’s decision on 28 May 2026 to bring forward the launch of Nozoil by just over three months and to place an additional order, driven by early and unsolicited demand from the pharmacy chains, as well as the launch in the Netherlands and Belgium through OTC Health & Beauty covering the pharmacy chain Kruidvat. Analyst Group assesses that the accumulated news flow underpins the high launch pace which forms the basis for the organic growth of 33% estimated for 2026. At the same time, the distributor model entails that the Company is dependent on the distributor’s prioritization and sales efforts, whereby the outcome in the region is assessed to be determined by the market development work which MetroMed actually carries out rather than by the agreement in itself.

In summary, Analyst Group views the agreement with MetroMed as a positive development which broadens the Company’s geographical presence to five new markets through a capital efficient distributor model, and which realises the revenue synergy from the acquisition of Pharmacure in that a market which entered the Group via Nozoil is now addressed with the full product portfolio. The financial contribution in the near term is assessed to be limited, whereas the structural demand drivers for the product portfolio in the region, in combination with a counterparty which holds established distribution channels, are assessed to render the region a potential growth contributor over time, where the pace at which the remaining registrations are obtained is assessed to constitute the most important factor to monitor going forward.

Nosa Plugs AB (”Nosa Plugs” eller ”Bolaget”) meddelade den 10 augusti år 2026 att Bolaget har ingått ett exklusivt distributörsavtal med MetroMed avseende försäljning av Nosa Plugs fulla produktsortiment i Förenade Arabemiraten, Kuwait, Qatar, Oman och Bahrain. I samband med att avtalet ingås lägger MetroMed en första order på NOSA Odor Control till ett ordervärde om cirka 0,3 MSEK. MetroMed avser därefter att lansera resterande produkter i sortimentet, inklusive Nozoil, NOSA Smell Training och NOSA Microbial Control, så snart erforderliga regulatoriska godkännanden har erhållits på respektive marknad, där det planerade ordervärdet för dessa produkter efter registrering uppgår till närmare 1 MSEK. Det sammanlagda värdet av den initiala ordern och de planerade efterföljande beställningarna uppgår därmed till cirka 1,3 MSEK. MetroMed kommer att sälja produkterna genom sina etablerade försäljningskanaler mot bland annat apotek, sjukhus, dagligvaruhandel och veterinärkliniker.

Analyst Groups syn på distributörsavtalet

Distributörsavtalet med MetroMed bedöms ha en större strategisk än omedelbar finansiell betydelse, där det sammanlagda ordervärdet om cirka 1,3 MSEK motsvarar cirka 3 % av Analyst Groups helårsprognos om cirka 43,8 MSEK för år 2026. Vad Analyst Group däremot ser som mer relevant är att avtalet omfattar hela produktsortimentet i fem marknader och därigenom realiserar den intäktssynergi som identifierades i samband med förvärvet av Pharmacure, nämligen att Bolagets övriga sortiment kan introduceras på marknader som tillkom genom Nozoil. I kombination med efterfrågedrivare som Analyst Group bedömer är strukturellt gynnsamma för en mjukgörande nässpray bedöms regionen kunna utvecklas till en viktig tillväxtdrivare över tid.

Avtalet realiserar intäktssynergier från förvärvet av Pharmacure

En dimension som Analyst Group ser som särskilt relevant är att Oman inte utgör en ny marknad för Nozoil. Genom förvärvet av Pharmacure, vilket slutfördes under Q3-25, fick Nosa Plugs tillgång till de marknader där Nozoil redan hade lanserats, vilket utöver Portugal, Kanada, Polen, Tjeckien och Australien innefattade Oman. En av rationalerna bakom förvärvet var att det skulle medföra intäktssynergier genom att Bolaget på ett mer effektivt sätt kan introducera dess övriga konsumentsortiment via Pharmacures befintliga försäljningsnätverk, och avtalet med MetroMed bedöms utgöra en konkret realisering av den mekanismen, varigenom en marknad som tillkom genom en enskild produkt nu adresseras med hela portföljen. Under det senaste året har den omvända rörelsen varit det mer synliga mönstret, där Nozoil har rullats ut på marknader där Nosa Plugs redan säljer Bolagets övriga sortiment, senast i Österrike, Frankrike, Norge samt genom avtalet avseende Nederländerna och Belgien. Analyst Group bedömer att det förvärvade distributionsnätverket därmed kan nyttjas i båda riktningarna, vilket var en central del av rationalen bakom förvärvet som nu realiseras.

Avtalet bedöms vidare ligga i linje med vad Bolaget tidigare har kommunicerat avseende regionen. I bokslutskommunikén för år 2025 uppgav Nosa Plugs att Nozoil fortsatt skulle lanseras tillsammans med distributörer i marknader som inte utgör utpekade fokusmarknader, där MENA-regionen omnämndes specifikt som ett område med stor potential men där Bolaget inte har för avsikt att bygga upp en egen säljkår. Avtalet utgör därmed en exekvering av en kommunicerad avsikt snarare än en förändrad strategisk inriktning, där den tillämpade distributörsmodellen möjliggör en etablering i fem marknader utan en motsvarande ökning av Bolagets fasta kostnadsbas.

Odor Control levereras först av regulatoriska skäl

Att den initiala ordern avser just Odor Control följer av de regulatoriska förutsättningarna för respektive produkt. Odor Control klassificeras varken som medicinteknisk utrustning eller skyddsutrustning och behöver därför inte CE-märkas, vilket innebär att produkten kan levereras utan en föregående registreringsprocess. Nozoil, Smell Training och Microbial Control är istället föremål för marknadsgodkännande i varje enskild jurisdiktion, vilket som regel förutsätter en lokalt utsedd auktoriserad representant, dokumenterad certifiering av kvalitetsledningssystemet, där Nosa Plugs innehar ISO 13485-certifiering, samt märkning och bruksanvisning på arabiska. Analyst Group bedömer därmed att den initiala ordern kan intäktsföras på kort sikt, medan de planerade efterföljande beställningarna om närmare 1 MSEK bedöms falla ut successivt under den senare delen av år 2026 och in i år 2027.

Signalvärdet överstiger det finansiella värdet

Sett till orderstorleken motsvarar det sammanlagda värdet om cirka 1,3 MSEK cirka 3 % av Analyst Groups helårsprognos om cirka 43,8 MSEK för år 2026. Analyst Group anser att signalvärdet överstiger det omedelbara finansiella värdet, då avtalet etablerar en distributionsplattform i fem marknader med en motpart som redan har kanalerna på plats, varigenom den marginella kostnaden för att addera volym och ytterligare produkter över tid bedöms vara begränsad. Under förutsättning att produkterna tas emot väl av slutkund bedömer Analyst Group att regionen kan utvecklas till en viktig tillväxtdrivare framgent, på ett liknande sätt som initiala ordrar på andra marknader därefter har följts av påfyllnads- och utökade ordrar.

Strukturellt gynnsamma förutsättningar för Nozoil i regionen

Specifikt för Nozoil bedömer Analyst Group att produkt- och marknadspassningen i regionen är strukturellt gynnsam. De fem marknaderna omfattar knappt 26 miljoner invånare i ett klimat som präglas av höga temperaturer, hög halt av luftburet damm och en närmast genomgående användning av luftkonditionering, vilket bidrar till torra nässlemhinnor året runt snarare än säsongsvis. Respiratoriska produkter utgjorde cirka 33 % av den terapeutiska segmentmixen inom marknaden för receptfria produkter i Förenade Arabemiraten under år 2024, något som hänförs till klimatet och dammnivåerna. Analyst Group bedömer att de underliggande efterfrågedrivarna för en mjukgörande nässpray därmed är mer uttalade än på flera av Bolagets befintliga marknader.

Fortsatt högt kommersiellt tempo

Analyst Group noterar att avtalet utgör den tredje kommersiella nyheten inom cirka tre månader, efter den norska apoteksgrossisten NMD:s beslut den 28 maj år 2026 att tidigarelägga lanseringen av Nozoil med drygt tre månader och lägga en tilläggsorder, drivet av tidig och icke påkallad efterfrågan från apotekskedjorna, samt lanseringen i Nederländerna och Belgien genom OTC Health & Beauty avseende apotekskedjan Kruidvat. Analyst Group bedömer att det ackumulerade nyhetsflödet underbygger den höga lanseringstakt som ligger till grund för den organiska tillväxt om 33 % som estimeras för år 2026. Samtidigt medför distributörsmodellen att Bolaget är beroende av distributörens prioritering och säljinsats, varför utfallet i regionen bedöms avgöras av den marknadsbearbetning som MetroMed faktiskt bedriver snarare än av avtalet i sig.

Sammanfattningsvis ser Analyst Group avtalet med MetroMed som en positiv utveckling som breddar Bolagets geografiska närvaro till fem nya marknader genom en kapitaleffektiv distributörsmodell, och som realiserar intäktssynergin från förvärvet av Pharmacure genom att en marknad som tillkom via Nozoil nu adresseras med hela produktsortimentet. Det finansiella bidraget på kort sikt bedöms vara begränsat, medan de strukturella efterfrågedrivarna för produktportföljen i regionen, i kombination med en motpart som innehar etablerade distributionskanaler, bedöms göra regionen till ett potentiellt tillväxtbidrag över tid, där takten i vilken de återstående registreringarna erhålls bedöms utgöra den viktigaste faktorn att följa framgent.
