Modus Therapeutics Holding AB (”Modus” eller ”Bolaget”) meddelade den 3 september 2026 att styrelsen, med stöd av bemyndigande från årsstämman den 28 maj 2026, har beslutat om en riktad nyemission av 20 000 000 aktier till en teckningskurs om 0,38 kronor per aktie, varigenom Bolaget tillförs 7,6 MSEK före transaktionskostnader. Emissionen har tecknats av de externa investerarna Tellus Equity AB (5 MSEK) och Selandia Alpha Invest A/S (1 MSEK) samt av de befintliga mindre aktieägarna Daniel Nilsson (1,2 MSEK) och Saman Naziri (0,4 MSEK). Utspädningen uppgår till ca 11,9 % för befintliga aktieägare och teckningskursen motsvarar en rabatt om ca 14,8 % mot stängningskursen den 3 september 2026. Nettolikviden avses användas till nästa steg i Bolagets utvecklingsplan under år 2027, inklusive prioriterad tillverkning av läkemedelsprodukt kopplat till exempelvis det fortsatta samarbetet runt svår malaria, samt till ytterligare runway för affärsutveckling i det fall proof-of-concept-data från den pågående fas IIa-studien inom CKD med anemi är gynnsamma.

Analyst Groups syn på nyheten

Emissionen genomförs till en begränsad rabatt och stärker kassan i ett läge där Modus närmar sig proof-of-concept-data inom CKD med anemi. Givet att Modus sedan tidigare var finansierade över den förväntade dataavläsningen vid årsskiftet 2026/2027 bedömer Analyst Group att beskedet framför allt är av betydelse för vad som sker efter avläsningen. Med en förlängd finansiell runway bortom den som tidigare kommunicerats in i Q1-27 stärker likviden Modus efter den förväntade datautläsningen. Detta antas även förbättra Bolagets position i potentiella partnerdiskussioner, då den påfyllda kassan möjliggör en bättre utgångspunkt för förhandling. Uteblir ett avtal i nära anslutning till data kan medlen i stället användas för fortsatt affärsutveckling och förberedelser inför nästa kliniska steg inom CKD med anemi, beroende på utfall i studien.

Därtill kan medlen riktas mot att säkra Bolagets egen insats i det externt finansierade malariaprogrammet, vilket avser prioriterad tillverkning av läkemedelsprodukt. Nästa steg inom malariaprogrammet förväntas vara en större fas II-studie, varefter programmet bedöms vara berättigad att ansöka om godkännande samt en Priority Review Voucher under FDA:s Tropical Disease-program, givet positiva utfall. Under år 2026 har observerade PRV-transaktioner genomförts i intervallet 180–200 MUSD, vilket medför betydande kommersiellt värde i en sådan voucher.

Begränsad rabatt i ett utmanande finansieringsklimat

Teckningskursen om 0,38 kronor motsvarar en rabatt om ca 14,8 % mot stängningskursen om ca 0,45 kronor den 3 september 2026 och ca 12 % mot den volymvägda genomsnittskursen under de senaste 90 dagarna om ca 0,43 kronor. Analyst Group bedömer att detta är en begränsad rabattnivå givet Bolagets storlek och utvecklingsfas, i synnerhet i ett marknadsläge där kapitalanskaffningar inom segmentet under senare tid har genomförts till väsentligt större rabatter. Att kapitalet har kunnat resas från externa investerare, utan deltagande från huvudägaren KDventures, bedöms indikera ett externt intresse för Bolaget inför datautläsningen. Modus tidigare kapitalanskaffningar har i hög grad burits av KDventures, varför en emission som i stället tecknas av nya parter breddar ägarbasen.

Förlängd räckvidd stärker Modus inför partnerdiskussioner

Likvida medel uppgick vid utgången av Q2-26 till 12,5 MSEK. Med en applicerad burn rate om ca 1,4 MSEK per månad estimerades kassan vara tillräcklig fram till omkring februari 2027, i linje med Bolagets kommunikation om finansiering in i Q1-27. Likviden från den riktade emissionen förlänger Bolagets runway ytterligare, där kostnadsbasen även förväntas minska efter avslutad studie, samtidigt som en del av likviden är öronmärkt för prioriterad tillverkning av läkemedelsprodukt. Likviden bidrar därmed till ökad flexibilitet och Analyst Group bedömer att tillskottet stärker Modus finansiella ställning utöver tidigare kommunicerade runway in i Q1-27.

Analyst Group ser detta som den väsentliga skillnaden jämfört med situationen före beskedet. En partnerprocess är sällan avklarad i nära anslutning till att data föreligger, då potentiella partners behöver tid att utvärdera underlaget och beroende på datas styrka och bredd kan efterfråga kompletterande studiedata. Ett bolag som förhandlar med en kassa som närmar sig sitt slut har svårare att avstå från villkor som inte bedöms spegla tillgångens värde, varför finansiell uthållighet efter avläsningen bedöms kunna påverka de villkor som är möjliga att uppnå i ett licensavtal. Om ett avtal inte tecknas i nära anslutning till data kan likviden i stället bära fortsatt affärsutveckling och förberedelser inför en fas IIb-studie inom CKD med anemi, vilken enligt Analyst Groups estimat kan inledas under år 2027 givet att erforderlig finansiering då finns tillgänglig.

Likviden avses användas för tillverkning inför nästa malariastudie

En del av likviden avses användas för prioriterad tillverkning av läkemedelsprodukt, där Bolaget anger det fortsatta samarbetet runt svår malaria som ett exempel. Malariaprogrammet bedrivs tillsammans med Imperial College London, som är sponsor för de kliniska studierna, med finansiering genom forskningsanslag från Wellcome. Fas Ib-studien SEVUSMART slutfördes under år 2025 och resultaten lämnades under Q2-26 in för publicering i Nature Communications, där en maximal tolererad dos om 3 mg/kg per infusion fastställdes och en gynnsam säkerhetsprofil hos barn bekräftades. Nästa utvecklingssteg som förespråkas av författarna är en multicenter randomiserad kontrollerad fas II-studie.

Analyst Group har tidigare framhållit att malariaprogrammets struktur är kapitaleffektiv för Modus, då Bolagets insats i allt väsentligt utgörs av läkemedelsprodukt samt vetenskaplig och regulatorisk expertis, medan studiernas genomförande och huvudsakliga kostnadsmassa bärs externt. Modus behåller samtidigt de kommersiella rättigheterna till sevuparin inom indikationen, där den dominerande värdedrivaren bedöms vara möjligheten att erhålla en Priority Review Voucher under FDA:s Tropical Disease-program vid ett framtida marknadsgodkännande. Under år 2026 har observerade PRV-transaktioner genomförts i intervallet 180–200 MUSD. Att en del av likviden nu öronmärks för tillverkning innebär att Modus säkrar sin egen insats i förväg. Det ska samtidigt betonas att tidpunkt, omfattning och finansiering av fas II-studien ännu inte har kommunicerats, varför tidslinjen styrs av sponsorns och finansiärens prioriteringar snarare än av Modus.

Därtill kvarstår utestående teckningsoptioner av serie TO 2030, vilka kan nyttjas årligen under september månad t.o.m. år 2030 till en teckningskurs om 0,40 kronor per aktie, där den första nyttjandeperioden infaller mellan den 14 och 27 september 2026. Vid fullt nyttjande av samtliga utestående teckningsoptioner kan Modus tillföras maximalt ca 15,2 MSEK före emissionskostnader, fördelat över de fem nyttjandeperioderna, där ett tillskott under september år 2026 skulle stärka Modus kassa och position ytterligare utöver likviden från den riktade emissionen.

Sammanfattningsvis bedömer Analyst Group att den riktade nyemissionen genomförs till villkor som får anses gynnsamma i rådande finansieringsklimat, och att den stärker Modus finansiella ställning inför Bolagets viktigaste värdedrivande händelse. Utspädningen uppgår till ca 11,9 %, men vägs mot att Modus nu har en förbättrad finansiell ställning bortom den förväntade datautläsningen och därmed stärks även Bolaget position inför de aktiviteter som planeras efter datautläsningen. Resultaten från del 2 av fas IIa-studien inom CKD med anemi, förväntade kring årsskiftet 2026/2027, kvarstår som den enskilt viktigaste triggern för Modus.


Comment on Modus Therapeutics’ Directed Share Issue of SEK 7.6m

Modus Therapeutics Holding AB (”Modus” or the ”Company”) announced on September 3, 2026, that the Board of Directors, supported by the authorization granted at the Annual General Meeting on May 28, 2026, has resolved on a directed share issue of 20,000,000 shares at a subscription price of SEK 0.38 per share, providing the Company with SEK 7.6m before transaction costs. The issue was subscribed by the external investors Tellus Equity AB (SEK 5m) and Selandia Alpha Invest A/S (SEK 1m), as well as by the existing minor shareholders Daniel Nilsson (SEK 1.2m) and Saman Naziri (SEK 0.4m). The dilution amounts to approximately 11.9% for existing shareholders, and the subscription price corresponds to a discount of approximately 14.8% to the closing price on September 3, 2026. The net proceeds are intended for the next step in the Company’s development plan during 2027, including prioritized manufacturing of drug product related to, for example, the continued collaboration in severe malaria, as well as additional runway for business development should proof-of-concept data from the ongoing Phase IIa study in CKD with anemia prove favorable.

Analyst Group’s View on the Announcement

The issue is carried out at a limited discount and strengthens the cash position at a point where Modus is approaching proof-of-concept data in CKD with anemia. Given that Modus was already funded through the expected data readout around the turn of the year 2026/2027, Analyst Group assesses that the announcement is above all of significance for what follows the readout. With a financial runway extended beyond the previously communicated funding into Q1-27, the proceeds strengthen Modus following the expected data readout. This is also assumed to improve the Company’s standing in potential partnering discussions, as the replenished cash position provides a better starting point for negotiation. Should an agreement not be reached in close connection with the data, the funds could instead be used for continued business development and preparations ahead of the next clinical step in CKD with anemia, depending on the outcome of the study.

In addition, the funds can be directed toward securing the Company’s own contribution to the externally funded malaria program, in the form of prioritized manufacturing of drug product. The next step in the malaria program is expected to be a larger Phase II study, after which the program is assessed to be eligible to apply for approval as well as a Priority Review Voucher under the FDA’s Tropical Disease program, subject to positive outcomes. During 2026, observed PRV transactions have been completed in the range of USD 180–200m, implying significant commercial value in such a voucher.

A Limited Discount in a Challenging Financing Climate

The subscription price of SEK 0.38 corresponds to a discount of approximately 14.8% to the closing price of approximately SEK 0.45 on September 3, 2026, and approximately 12% to the volume-weighted average price over the past 90 days of approximately SEK 0.43. Analyst Group assesses this to be a limited discount given the Company’s size and development stage, particularly in a market environment where capital raises within the segment have recently been completed at considerably larger discounts. That the capital could be raised from external investors, without participation from the principal shareholder KDventures, is assessed to indicate external interest in the Company ahead of the data readout. Modus’ previous capital raises have to a large extent been carried by KDventures, and an issue subscribed instead by new parties broadens the shareholder base.

Extended Runway Strengthens Modus Ahead of Partnering Discussions

Cash and cash equivalents amounted to SEK 12.5m at the end of Q2-26. Applying a burn rate of approximately SEK 1.4m per month, the cash position was estimated to be sufficient until around February 2027, in line with the Company’s communication regarding funding into Q1-27. The proceeds from the directed issue extend the Company’s runway further, where the cost base is also expected to decrease once the study has been completed, while part of the proceeds is earmarked for prioritized manufacturing of drug product. The proceeds thereby contribute to increased flexibility, and Analyst Group assesses that the contribution strengthens Modus’ financial standing beyond the previously communicated runway into Q1-27.

Analyst Group views this as the material difference compared with the situation prior to the announcement. A partnering process is rarely concluded in close connection with data becoming available, as potential partners need time to evaluate the material and, depending on the strength and breadth of the data, may request complementary study data. A company negotiating with a cash position approaching depletion is less able to decline terms that are not assessed to reflect the value of the asset, and financial endurance following the readout is therefore assessed to affect the terms achievable in a licensing agreement. Should an agreement not be concluded in close connection with the data, the proceeds could instead support continued business development and preparations ahead of a Phase IIb study in CKD with anemia, which according to Analyst Group’s estimates could commence during 2027 provided the necessary financing is then available.

Proceeds Intended for Manufacturing Ahead of the Next Malaria Study

Part of the proceeds is intended for prioritized manufacturing of drug product, with the Company citing the continued collaboration in severe malaria as an example. The malaria program is conducted together with Imperial College London, which is the sponsor of the clinical studies, with funding through research grants from Wellcome. The Phase Ib study SEVUSMART was completed in 2025, and the results were submitted during Q2-26 for publication in Nature Communications, where a maximum tolerated dose of 3 mg/kg per infusion was established and a favorable safety profile in children was confirmed. The next development step advocated by the authors is a multicenter randomized controlled Phase II study.

Analyst Group has previously highlighted that the structure of the malaria program is capital efficient for Modus, as the Company’s contribution consists essentially of drug product together with scientific and regulatory expertise, while the conduct of the studies and their principal cost base are borne externally. Modus at the same time retains the commercial rights to sevuparin within the indication, where the dominant value driver is assessed to be the possibility of obtaining a Priority Review Voucher under the FDA’s Tropical Disease program upon a future market approval. During 2026, observed PRV transactions have been completed in the range of USD 180–200m. That part of the proceeds is now earmarked for manufacturing means that Modus secures its own contribution in advance. It should at the same time be emphasized that the timing, scope, and funding of the Phase II study have not yet been communicated, and the timeline is therefore governed by the priorities of the sponsor and the funder rather than by Modus.

In addition, outstanding warrants of series TO 2030 remain, which may be exercised annually during September up to and including 2030 at a subscription price of SEK 0.40 per share, with the first exercise window falling between September 14 and 27, 2026. Upon full exercise of all outstanding warrants, Modus could receive a maximum of approximately SEK 15.2m before issue costs, distributed across the five exercise windows, where a contribution during September 2026 would further strengthen Modus’ cash position beyond the proceeds from the directed issue.

In summary, Analyst Group assesses that the directed share issue is carried out on terms that must be considered favorable in the current financing climate, and that it strengthens Modus’ financial standing ahead of the Company’s most important value-driving event. The dilution amounts to approximately 11.9%, but is weighed against the fact that Modus now has an improved financial standing beyond the expected data readout, which also strengthens the Company ahead of the activities planned following the readout. The results from Part 2 of the Phase IIa study in CKD with anemia, expected around the turn of the year 2026/2027, remain the single most important trigger for Modus.
